This Mutual Non-Disclosure Agreement ("Agreement") is entered into between Certa Finance ("Service Provider") and the CPA firm engaging our services ("Client Firm").
Each party agrees to treat all information disclosed by the other party — including client names, financial data, business processes, pricing, and technical information — as strictly confidential.
This Agreement is effective from the date of signing and survives termination of the engagement for a period of 5 years.
Certa Finance commits to: encrypted file transfer only, no third-party storage of client data, deletion or return of all client data within 14 days of engagement termination, and prompt breach notification (within 48 hours of discovery).
Information is not considered confidential if it is publicly available, independently developed, or required to be disclosed by law.
This Agreement is governed by Indian law and, where applicable, the laws of the Client Firm's jurisdiction.
